What do Item 11 disclosures mean on a firm profile?

Practical steps to check filings and search advisors on Best Investors.

The short answer

A Yes on Form ADV Item 11 means the firm checked a disclosure box on its filing. It is not, by itself, a finding of guilt, a ban, or proof you should walk away. Read which sub-item is Yes, who it covers, when it happened, and what outcome the Disclosure Reporting Page (DRP) describes. A clean Item 11 (all No answers) is not a quality score either. It only means the firm reported that those questions do not apply as asked.

Best Investors republishes public IAPD feeds. Confirm the same CRD on SEC IAPD when details matter to a hire. Background: What is Form ADV?.

What to do

  1. Open the firm profile on Best Investors (Search by name or zip). Find the Disclosures card near the top, or open the ADV panel and go to Item 11.
  2. List every Yes line before you judge the firm. Each sub-item stands alone. Start with Item 11 - Disclosure Information.
  3. Read any Disclosure events from Form ADV on the same card. When the ADV PDF includes filled DRPs, those narratives show regulator, docket, allegations, and sanctions. That text is the substance; the checkbox is only the flag.
  4. Note who is covered. Item 11 can reach the firm or supervised persons. If the card lists advisors with Yes categories, open those names. Roster rows often show category flags only; full individual narrative may live on IAPD or BrokerCheck.
  5. Use field explainers when wording is unclear. Examples: 11A(1) felony conviction or plea, 11C(2) SEC/CFTC violation finding, 11G pending regulatory proceeding. Neighboring Yes boxes often describe one matter from different angles.
  6. Write down the firm CRD. Open IAPD, search that CRD, and compare Item 11 and any DRP material on the government file. Treat IAPD as the original if the pages disagree. See Best Investors vs SEC IAPD.
  7. Ask the firm named questions before you sign: which person, which year, which order, and whether the matter is closed. Compare their answer to the filing text you already read.

What to look for on Best Investors

Disclosures card. Every firm-level Item 11 Yes surfaces here. Event narratives from the ADV PDF appear on the same card when present. Start here before the full checklist.

ADV form Item 11 block. The Yes/No checklist sits in the Part 1A panel. Item codes link to /info/adv/ explainers so you can read the official question next to the answer.

Criminal vs regulatory vs civil vs pending. Common clusters: 11A–11B criminal; 11C–11E regulatory and SRO findings; 11F professional authorization losses; 11G and 11H(2) pending; 11H(1) civil outcomes. Pending is not a final order. A charge is not a conviction.

Advisor names with Yes categories. Flagged roster names are a lead to dig deeper, not a full individual DRP reprint.

Pro badge and claim badge. Pro ($9.99/month) sorts first in search. A claimed page means someone on the firm side manages the listing. Neither badge clears or worsens Item 11. Neither is a regulator endorsement.

Other ADV fields next to Item 11. AUM and services describe the business. They do not score honesty. Do not trade a large AUM figure against a disclosure you have not read.

Common mistakes

  • Treating any Item 11 Yes as automatic guilt or as an automatic reason to stop talking to the firm.
  • Stopping at the checkbox and never reading the DRP, docket, date, or outcome.
  • Treating a clean Item 11 as proof the firm is skilled, honest, or a good fit.
  • Reading one Yes line and ignoring the rest of Item 11 on the same profile.
  • Skipping IAPD verification after you find a disclosure (or a blank panel) here.
  • Confusing a pending proceeding with a final finding, or a firm flag with a specific person without the narrative.
  • Mixing broker history with this firm’s Item 11 without also checking BrokerCheck when the person is dual-registered.

Related questions

Does a Yes on Item 11 mean the firm is banned?

No. A Yes means the firm reported that the question’s conditions apply. Outcomes range from old settled matters to serious sanctions. Some firms remain registered after disclosing an event. Read who, when, and what the order required. Then decide for yourself. Best Investors does not ban or clear firms based on Item 11.

What if every Item 11 answer is No?

That is the firm’s self-reported answer: those questions do not apply as asked on the current filing. It is not a grade or a guarantee. Still read services, fees, the brochure, and Form CRS. Still verify the CRD on IAPD.

Where do I find the story behind a Yes?

On Best Investors, look for disclosure event text on the Disclosures card when the ADV PDF included DRPs. On IAPD, open the same CRD and read the filing and related documents. Field pages such as 11C(5) and 11H(2) explain what each checkbox asks. The checkbox never replaces the narrative.

Should I also check the individual advisor?

Yes when you can. Firm Item 11 is organization-level. Check the Disclosures card for flagged roster names, then verify the person on IAPD. Use BrokerCheck if they are also a broker. Steps: How do I check if an advisor is registered?.

Why might Best Investors and IAPD look different?

Feed timing. Pages update after ingest jobs run. IAPD can show a newer amendment before Best Investors rebuilds the profile. When details drive a hire decision, trust the IAPD file for that CRD.

Limits

Best Investors is not a regulator and not legal or investment advice. A profile here is not a government endorsement.

Form ADV Item 11 answers and DRP narratives are self-reported by the adviser. Best Investors does not audit disclosures, rewrite event text, or decide whether a matter is “serious enough” for you.

A clean Item 11 is not a quality score. A Yes is not automatic guilt. Pro placement ($9.99/month) is advertising in search sort. It has no bearing on disclosure content.

Advisor-level narrative detail may be limited on firm pages. Older matters can drop off a current ADV if the form no longer requires them. Always finish with IAPD for the official public file.
