J.R. Knight, CFP® is the sole owner of and principal licensed Utah real estate broker for F.W.A. Realty located at 670 West Shepard Lane, Suite 101, Farmington, Utah 84025 (start date: May 20, 1992). He occasionally (1-3 hours per month during securities trading hours) represents clients in various types of real estate transactions for which he may receive a real estate commission. In those situations the client is fully informed that Mr. Knight is receiving compensation for his services and that the arrangement presents a conflict of interest-Mr. Knight has a financial incentive to recommend the services of F.W.A. Realty. J.R. Knight, CFP® also owns a 50% interest in East Meadows Homes, a Utah Limited Liability Company (start date: June 11, 2014 and Office location is: 670 West Shepard Lane, Suite 101, Farmington, Utah 84025) which is a company that owns the Class B Member shares (Managing Partner shares) in Land Solutions Partners-East Meadows, LLC. It also manages the East Meadows Mobile Home Park. Mr. Knight spends approximately 20 hours per month during securities trading hours as a managing partner in this business. He also owns a 11.2% interest in Land Solutions Partners-East Meadows, LLC (start date: September 19, 2013 and Office location is: 670 West Shepard Lane, Suite 101, Farmington, Utah 84025) a Limited Liability Company that owns the East Meadows Mobile Home Park located in Vernal, Utah. Land Solutions Partners-East Meadows, LLC Class A Member shares are owned by the investors. Mr. Knight's existing Family Wealth Advisors (FWA) client base/ and non-FWA investors were solicited to invest in Land Solutions Partners-East Meadows, LLC. These private real estate securities transactions are inherently high-risk investments and when advisory clients are solicited to invest in outside projects, a potential conflict of interest exists in that Mr. Knight owns a 50% interest in the East Meadows Homes, LLC and a 11.2% interest in Land Solutions Partners-East Meadows, LLC. Neither East Meadows Homes, LLC or Land Solutions Partners-East Meadows, LLC received upfront commissions for raising the capital necessary to acquire the property and no upfront compensation for negotiating and structuring the syndication. F.W.A. Realty was paid a real estate commission for providing brokerage services to Land Solutions Partners-East Meadows, LLC. Mr. Knight receives compensation from his equity interest in East Meadows Homes, LLC and Land Solutions Partners-East Meadows, LLC based on the success of the company.
