I serve on the Board of Directors of FAPAInvest LLC. FAPAInvest is a LLC registered in the State of Colorado which represents the commercial interests of the pilots of Frontier Airlines dating to their out of court restructuring in 2011 which resulted in a concessionary contract. In exchange for the concessions to compensation, FAPAInvest negotiated a Commercial Agreement on behalf of the eligible pilots. The Commercial Agreement resulted in a Phantom Equity Agreement giving the pilots of Frontier Airlines a 4% ownership stake in the new company and Profit Share program. As of the date of this response the BoD's responsibility is to receive quarterly financial statements of the performance of Frontier Airlines and monitor the "value" of the Phantom Equity. Upon a future 409A event at Frontier Airlines, the FAPAInvest board of directors will notify the investors of the distribution and instruct the company to each investors vested distribution percentage. FAPAInvest does not nor will take constructive receipt of any equity or cash resulting in the eventual payout. There is no compensation for this board seat.
