Mr. Werner is not engaged in any other busines or occupation (investment-related or otherwise) beyond his capacity as Managing Member and Chief Investment Officer of the three Winthrop entities. Mr. Werner's compensation varies by entity and so he has an incentive to recommend clients utilize the services of one Winthrop entity over another. To address this conflict Winthrop segregates clients based upon their physical address. Clients of one entity will never also be clients of another and the fees paid by a Winthrop client, and services received, do not vary from one Winthrop entity to another.
