1.) Peter Hughes is the sole owner of Peter Hughes Consulting, a separate and unaffiliated entity. This activity accounts for approximately 10% of his time during trading hours. As a Consultant, Mr. Hughes helps value companies, helps implement business improvement processes, and advises business owners with respect to bringing their company to market and negotiating the appropriate price. This creates a conflict of interest because Mr. Hughes has an incentive to refer clients between Peter Hughes Consulting and EI, although neither party receives compensation for client referrals. To mitigate the existence of this conflict, as a fiduciary Mr. Hughes has a duty to act solely in the best interests of each client and will only recommend services appropriate to the client's circumstances. Clients are under no obligation to act upon the recommendations. In addition, clients utilizing services of both entities will engage and remit payment to each business separately. 2.) Peter Hughes is the sole owner of Peter Hughes Coaching, a separate and unaffiliated entity. This activity accounts for approximately less than 5% of his time during trading hours. As a Performance & Life Coach, Mr. Hughes helps people identify areas where they feel stuck, out of alignment, or unfulfilled, and together they work on those areas to break through limiting beliefs, restore balance, and achieve meaningful goals with specific, measurable outcomes. Areas of focus include alleviating burnout, navigating transitions, and strengthening relationships. This creates a conflict of interest because Mr. Hughes has an incentive to refer clients between Peter Hughes Performance Coaching and EI, although neither party receives compensation for client referrals. To mitigate the existence of this conflict, as a fiduciary Mr. Hughes has a duty to act solely in the best interests of each client and will only recommend services appropriate to the client's circumstances. Clients are under no obligation to act upon the recommendations. In addition, clients utilizing services of both entities will engage and remit payment to each business separately. 3.) Peter Hughes is also a 50% owner of Talon Real Estate LLC a separate and unaffiliated entity. This activity accounts for less than 5% of his time during trading hours. As a managing member of Talon Real Estate LLC, Mr. Hughes collects rental income from an owned property.
