Item 5B(1) counts employees performing investment advisory functions, including research. This represents the firm's core advisory workforce - portfolio managers, research analysts, financial planners, and others directly involved in providing investment advice.

Items 5B(2) through 5B(5) cover dual-registered employees: broker-dealer registered representatives, state investment adviser representatives for this firm, state representatives for other firms, and insurance agents. The same person can appear in multiple categories when they hold several licenses.

Item 5B(6) asks about third-party solicitors - external firms or individuals who refer clients to the adviser for compensation. This count supplements the firm's internal workforce with contracted marketing relationships.

How to use it on a profile

Locate Item 5B within the firm's ADV form on Best Investors. The section shows approximate employee counts across different professional categories.

Start with the total employee figure from Item 5.A. when shown, then examine 5B(1) - investment advisory functions as the core advisory workforce. This number represents the firm's capacity for research, portfolio management, and direct client advisory services. Compare 5B(1) to total employees to gauge what percentage of staff focus on advisory work versus administrative, compliance, or other functions.

Review 5B(2) - registered representatives for potential brokerage conflicts. A high count relative to 5B(1) suggests significant broker-dealer activity, which might involve commission compensation alongside advisory fees. This dual registration allows employees to sell securities products and receive transaction-based compensation.

Check 5B(3) - state investment adviser representatives to understand state-level compliance infrastructure. These registrations enable employees to provide advisory services in states that require individual registration, indicating the firm's geographic reach and regulatory sophistication.

Note 5B(4) - representatives for other firms as a potential conflict flag. Employees maintaining outside advisory registrations might have competing loyalties or access to confidential information from other firms.

The figures do not distinguish between senior professionals and junior staff within each category. 5B(1) might include both seasoned portfolio managers and entry-level research associates, making it difficult to assess the firm's decision-making capacity.

Employee counts reflect the filing date snapshot, not current staffing levels. Recent hires, departures, or organizational changes will not appear until the next Form ADV update, potentially creating outdated impressions of the firm's capacity.

The section does not address employee tenure, turnover rates, or team stability. A firm might maintain consistent headcounts while experiencing significant staff churn, affecting service continuity and institutional knowledge.

Dual registration counts (5B(2) through 5B(5)) indicate licensing status but do not reveal how actively employees use those registrations or what percentage of their time involves non-advisory activities. Some employees might maintain licenses for contingency purposes without active broker-dealer or insurance work.

Item 5B also does not capture external relationships that might affect service delivery, such as administrative support providers, compliance consultants, or investment platform relationships that extend the firm's effective capacity beyond its direct employees.

Finally, the numbers do not indicate compensation structures, incentive alignments, or potential conflicts within the workforce. Employees with multiple registrations might face competing incentives between advisory recommendations and commission-generating activities.
