What this means

Item 8A(1) asks whether the adviser buys securities for itself from advisory clients, or sells securities it owns to advisory clients: known as principal transactions where the adviser firm acts as the counterparty to client trades rather than simply facilitating transactions in the market.

In the transaction asked about here, the adviser owns the security sold to the client or buys a security from the client for itself. The adviser is the client's counterparty rather than only arranging a trade with someone else.
