Sailcrest Capital Consulting LLC ("SCC"), an entity wholly owned by Mr. Faulkner, provides consulting services to Public Works LP, a Cayman Islands exempted limited partnership, under a written consulting agreement. Mr. Faulkner's role is advisory and operational only. He (1) serves as a non-voting advisor to the fund's investment committee, providing analysis and strategic input on potential and current investments, and (2) supports operational functions — financial-reporting coordination, audit facilitation, and liaison with external service providers — in each case at the direction of the fund's general partner. Mr. Faulkner is not a director, officer, or employee of Public Works LP; he holds no board seat, has no signing authority on behalf of the fund, and has no vote or other decision-making authority over investments, distributions, or fund operations. All investment and management decisions are made solely by the general partner. This relationship creates a potential conflict of interest, as Mr. Faulkner's consulting role may overlap with investment recommendations made to clients of Sailcrest Capital Management LLC ("SCM"), the registered investment adviser through which Mr. Faulkner is registered as an investment adviser representative. SCM addresses this through full written disclosure of conflicts to clients and by making all recommendations solely in clients' best interests. Neither SCM nor Mr. Faulkner receives commissions or other transaction-based compensation in connection with this role; SCC receives fixed consulting fees for the services described.
