1. Bert R. Cramer, Attorney at Law. The business is not related to providing specific investment advice. The part-time law practice is located at 1138 Alleghenyville Rd., Mohnton, PA 19540. I am a sole practitioner, as of approximately July, 1995. I typically devote 5 - 10 hours per month in my part-time practice of law. During securities trading hours, I generally do not devote time to practicing law. It is a part-time law practice limited primarily to estate, elder law issues and tax preparation. 2. The Wm. & Charlotte McIlvain Testamentary Charitable Annuity Trust, created under the probated Will of Charlotte McIlvain, deceased. The trust, which is a testamentary trust, is investment related. The trusts' investments and all assets from the trust's initial funding to date have been held at DTC through the accounts of the corporate co-trustee Mid Penn Bancorp, Inc. 2407 Park Drive, Harrisburg, PA, 17110; and its predecessor banks with trust powers. My position is that of Individual Co-trustee. The "other business" is a testamentary charitable remainder annuity trust, for which Bert R. Cramer has served as the individual Co-trustee since the original funding of that testamentary trust in May, 2002. I expend 1 - 3 hours/month as Individual Co-trustee of the trust, typically not during securities trading hours. My duties as the individual Co-trustee are generally related to the review of trust administrative activities and investment matters. I have received monthly statements of the trusts' assets and all transactions since its inception.
